How Build Capital thinks about capital.

This page describes a way of working rather than a proposition. Build Capital is pre-launch: no capital has been raised, none has been deployed, and no one has been approached.

Alignment before terms

Terms are the last thing a capital relationship should be built on and the first thing most people ask about. Build Capital is structured to begin somewhere else: with what an asset actually is, who bears which risk, and what each party is being asked to rely on. Where those questions are answered plainly, terms follow from them. Where they are not, no set of terms repairs the gap.

That ordering is a discipline rather than a marketing position, and it has a cost. It makes conversations slower, and it rules out the kind of proposition that leads with a number and explains itself afterwards. Build Capital will accept that cost, because the alternative is a description that reads well and does not survive contact with the underlying asset.

Transparency is the same discipline pointed at the writing rather than at the structure. A document that separates what is known from what is estimated from what is still open is harder to produce and easier to trust. That separation is the standard this firm intends to be held to.

What that looks like in practice

  • A transaction is described in the language of the asset it rests on, not in the language of the structure wrapped around it.
  • Where something is not known, it is written down as not known rather than smoothed over.
  • The party bearing a risk is named, and so is the party who is not bearing it.
  • Nothing is presented as settled while it is still being decided.

Structure follows the asset

The working preference is to structure each transaction on its own terms rather than pool unrelated assets inside one commingled vehicle. Two internal reviews reached that preference independently of each other, and it is recorded as a preference rather than as a product: nothing has been formed, nothing has been selected, and what is finally built is a question for counsel.

The reasoning is straightforward. An asset has its own duration, its own security, its own counterparties and its own way of failing. A structure built around one asset can be honest about all four. A structure built to hold many unrelated assets has to average them, and the averaging is where the description starts to drift from the thing being described.

So the intended sequence is asset first, structure second. Where an asset does not support a structure, Build Capital will not build one to fit.

Written so a reader can tell what is known, what is estimated and what is still open, without having to ask.

Where this stands

Build Capital has not raised capital, has not deployed capital, has not made a transaction and has not approached anyone about one. Those are the accurate figures rather than placeholders, and they are stated here for the same reason they are recorded internally.

Build Capital will not present an investment product to any person until a compliance review is complete. That is a standing internal rule rather than a statement about this page, and it is why this page states a philosophy and nothing else.
